The acquisition, finalized under an Agreement and Plan of Merger dated March 23, 2026, involves Ondas merging its wholly-owned subsidiary, Wassaic Merger Sub Inc., with World View. As part of the transaction, Ondas will issue up to 12,775,219 shares of its common stock and provide approximately $7.3 million in cash to settle outstanding obligations. Notably, 99,233 shares will be held in escrow to secure any post-closing purchase price adjustments owed by the stockholders.
In conjunction with the merger, Ondas has entered into a Registration Rights Agreement with certain stockholders, committing to file prospectus supplements with the SEC for the resale of the issued shares. This agreement includes trading volume limitations for the stockholders, restricting daily sales to no more than 5% of the daily trading volume of the common stock.
The acquisition is seen as a significant step in Ondas' evolution into a multi-domain platform, enhancing its operational architecture and addressing the growing demand for integrated ISR and autonomous systems. World View's Stratollite platform, known for its long-endurance, high-altitude sensing capabilities, will complement Ondas' existing portfolio of autonomous drones and robotics. This integration aims to enhance mission effectiveness across various applications, including border security and military operations.
The combined capabilities of Ondas and World View are expected to significantly expand Ondas' addressable market and accelerate the rollout of its integrated ISR platform, positioning the company for future growth in the defense and security sectors.
