Ondas Inc. (Nasdaq: ONDS) has successfully completed the acquisition of Rotron Aerospace Ltd., a UK-based developer of advanced unmanned aerial systems and long-range autonomous platforms. The acquisition, finalized on March 16, 2026, was executed under a Sale and Purchase Agreement with Gilo Holdings Ltd., the indirect owner of Rotron. The total purchase price amounted to approximately $6.66 million in cash and 3,334,753 shares of Ondas' common stock. This strategic move is expected to enhance Ondas' capabilities in the unmanned systems sector, particularly in defense and security applications. The acquisition not only strengthens Ondas' technological portfolio but also expands its strategic footprint within the UK and NATO ecosystems, providing fast-track access to major defense programs through established relationships with the UK Ministry of Defence. The shareholders of Gilo have agreed to a lock-up period for a portion of the shares acquired, ensuring stability in the market post-acquisition. Additionally, Ondas has entered into a Registration Rights Agreement with the shareholders, which includes trading volume limitations to manage the resale of shares.
