Wakefern Food Corp., et al., is currently pending in the Superior Court of New Jersey, Law Division, Middlesex County. The litigation has escalated as Wakefern filed an Answer, Separate Defenses, Jury Demand, Counterclaims, and a Third-Party Complaint in response to Village Super Market's Second Amended Complaint, which seeks punitive and other damages against Wakefern. The counterclaims include a request for a declaration that good cause exists under Wakefern's By-Laws to compel Village Super Market to sell its stock in Wakefern and exit the cooperative. Village Super Market asserts that there is no basis for such claims, as Wakefern has not provided evidence that its board of directors has voted to compel the sale of stock as required by its By-Laws. The company believes that Wakefern's claims are frivolous and intends to seek dismissal of these claims.
