On March 12, 2026, Upwork Inc. disclosed in an 8-K filing that David T. Bottoms, the General Manager of Marketplace, has reached an agreement regarding his resignation from the company. Bottoms will continue his employment until April 3, 2026. Following this, on March 17, 2026, Upwork and Bottoms entered into a separation agreement that outlines the terms of his departure. This agreement includes a lump sum payment equivalent to twelve months' base salary and reimbursement for insurance premiums under COBRA until he secures equivalent coverage or for a maximum of twelve months. Additionally, Bottoms' outstanding equity awards will continue to vest until his last day of employment. Effective April 4, 2026, Anthony Kappus, currently the GM & Chief Operating Officer, will take over leadership of all Marketplace-related teams, excluding engineering, which will be led by Andrew Rabinovich, the Chief Technology Officer & Head of AI/ML. This leadership change is significant as it reflects Upwork's ongoing strategy to enhance its operational execution and adapt to market demands. The company has indicated that the full text of the Bottoms Separation Agreement will be filed as an exhibit to its Quarterly Report on Form 10-Q for the fiscal quarter ending March 31, 2026.
