On March 13, 2026, Coursera, Inc. announced the appointment of Michael Foley as the company's Senior Vice President, Chief Financial Officer, and Treasurer, effective March 16, 2026. Foley, who previously served in an interim capacity, will continue to be recognized as the principal financial officer and principal accounting officer of the company. In connection with his appointment, Coursera has entered into a new offer letter with Foley, which supersedes his prior agreement from November 2025. Under the new terms, Foley's annual base salary will be set at $475,000, with eligibility for an annual cash incentive program that includes a target bonus opportunity of 70% of his base salary, contingent upon performance conditions determined by the Board or the Human Resources and Compensation Committee. Notably, for the year 2026, Foley's earned annual bonus will be guaranteed at a minimum of $200,000, provided he remains employed through the applicable bonus payment date. Additionally, the company has granted Foley equity awards comprising 350,000 restricted stock units (RSUs) and 350,000 performance-based restricted stock units (PSUs), with vesting schedules tied to both time and performance metrics. This strategic leadership change is expected to enhance Coursera's financial oversight and operational execution, aligning with the company's growth objectives in the competitive online education market.
