On March 16, 2026, CleanCore Solutions, Inc. (the "Company") reported significant changes in its leadership structure through a Form 8-K filing with the SEC. Clayton Adams has resigned as Chief Executive Officer but will continue to serve on the Company's Board of Directors and as General Manager, overseeing operational matters in the U.S. and Ireland. In connection with his resignation, the Company and Mr. Adams entered into a Termination Agreement, which includes a cash payment of $500,000 to Mr. Adams upon termination of his Executive Employment Agreement dated September 5, 2025. This agreement also includes mutual releases of claims between the parties.

Following Mr. Adams' resignation, Tyler Hassen has been appointed as the new Chief Executive Officer of CleanCore Solutions. Mr. Hassen, 43, is the founder of Stable Crest Holdings and has held various leadership roles in the U.S. Department of the Interior and Basin Holdings. His appointment is expected to bring a fresh perspective to the Company, with a focus on operational efficiency and strategic growth.

In his new role, Mr. Hassen will receive an annual base salary of $500,000, along with a signing bonus of $250,000 contingent upon the completion of a Qualified Financing. He will also be eligible for performance-based bonuses and equity awards, aligning his compensation with the Company's performance and shareholder interests. The Company believes that these leadership changes will enhance its operational execution and strategic outlook, positioning it for future growth.
