BT Brands, Inc. (Nasdaq: BTBD) has announced a significant development regarding its proposed merger with Aero Velocity Inc. The merger, which was previously reported in a Current Report on Form 8-K filed on September 3, 2025, is set to enhance the operational capabilities of both companies. As part of this merger, Aero Velocity and its partners within the AeroShield Alliance are establishing a new headquarters in Mississippi. This strategic move aims to expand their footprint in infrastructure technology and bolster their public-sector solutions platform.

The establishment of the Mississippi headquarters is expected to accelerate the deployment of advanced technologies, including AI-driven infrastructure analytics and drone-based data collection capabilities. These innovations will be particularly beneficial for state and local government markets, facilitating workforce development and enhancing access to large-scale infrastructure inspection and monitoring opportunities.

Deborah Martin, president of the AeroShield Alliance and CEO of Service Specialists LLC, emphasized the Alliance's mission to improve outcomes for government agencies while reducing costs for taxpayers. The consortium has already secured over $100 million in government contracts, serving various federal and state agencies, including the U.S. Department of War and the U.S. Air Force.

Mark Hastings, CEO of Aero Velocity, highlighted the importance of partnerships with local institutions, such as Holmes Community College, in launching the Rural Transportation Resilience Center. This initiative aligns with the national ROUTES program, which aims to leverage transportation for economic success in rural areas. If the proposed U.S. Department of Transportation grants are awarded, the initiative could support workforce training for approximately 200 residents and create an additional 100 jobs over the next three years.

The merger is expected to close in 2026, pending stockholder approvals and other customary closing conditions. This development is seen as a positive step for BT Brands, as it positions the company to leverage new technologies and expand its market presence significantly.
