Bitcoin Depot Inc. has announced the appointment of W. Alexander Holmes as the new Chief Executive Officer and Executive Chairman of the Board, effective March 27, 2026. Holmes will receive an annual base salary of $1,000,000, along with a minimum annual cash bonus of $500,000 for 2026, which is set at 100% of his base salary. Additionally, he is entitled to a sign-on bonus of $500,000, payable within 30 days of his employment agreement's effective date. The agreement also includes a performance cash award with a target value of $1,500,000, which can increase to a maximum of $3,000,000 based on the company's performance metrics over the fiscal year. This performance award will vest in three installments over the following two years, contingent on continued employment. Furthermore, the company has entered into retention agreements with its Chief Financial Officer, David Gray, and General Counsel, Christopher Ryan, offering them substantial retention bonuses to ensure their continued service. Gray will receive a $900,000 retention bonus, while Ryan will receive $300,000. These arrangements are designed to stabilize the leadership team and drive the company's growth strategy.
