On March 19, 2026, Athena Technology Acquisition Corp. II ("Athena") and Ace Green Recycling, Inc. ("Ace Green") entered into a First Amendment to their Business Combination Agreement ("BCA Amendment"). This amendment modifies the existing agreement dated December 4, 2024, to include additional earnout provisions for stockholders of Ace Green upon the closing of the transactions. The amendment also allows for certain financings by Ace Green, updates the expected Board composition post-closing, and extends the Outside Date to April 30, 2026. The changes aim to enhance the business combination's structure and provide more flexibility for both parties as they move forward with their plans.
